Terms of Service

These Terms of Service (“Agreement”) govern the provision of design services by the Designer (Juli Vignette/www.juliv.uk). By booking or engaging services through this website, you (“Client”) agree to the following terms.

1. Definitions

  • Designer: Refers to the individual providing design services as offered through this portfolio website.

  • Client: Refers to any individual, company, or organization that books or engages the Designer’s services.

  • Deliverables: The final creative work produced by the Designer and provided to the Client in agreed formats.

2. Booking & Availability

  • The Client may book the Designer for full days or consecutive weeks or per project.

  • When not booked for a full week, the Designer may determine specific working days, subject to availability.

  • Bookings must be confirmed at least five (5) business days in advance.

  • All booked time is reserved exclusively for the Client.

3. Location of Work

  • The Designer primarily performs services remotely and may operate in a different time zone. Meetings will be scheduled during overlapping working hours.

  • In-person meetings within the same city may be arranged with at least one (1) business day’s notice, subject to availability.

  • If in-person attendance is required in another city or country:

    • The Client is responsible for covering all travel, accommodation, and related expenses.

    • Travel and on-site days are considered booked working days.

4. Client Responsibilities

  • The Client must appoint a primary point of contact (POC) to coordinate with the Designer.

  • The POC is responsible for:

    • Providing task briefs and relevant context.

    • Acting as the central communication link with internal stakeholders.

    • Supplying all required materials, guidelines, or assets.

  • Any change of POC must be communicated in writing.

  • The Client must provide feedback on time. Delays may result in adjusted timelines.

5. Feedback & Approvals

  • The POC must provide clear, consolidated, and actionable feedback.

  • The Designer is not responsible for managing feedback from multiple stakeholders. Internal alignment is the Client’s responsibility.

  • Revision meetings should include all relevant decision-makers.

  • Feedback received after a revision round is completed may be treated as a new task and require additional booking.

6. Revisions

  • Each deliverable includes up to two (2) rounds of revisions.

  • Additional revisions may reduce time available for other booked tasks.

  • Further time requires additional bookings.

7. Payment Terms

  • Invoices are issued monthly and payable within the agreed payment period.

  • A deposit may be requested for new clients or long-term engagements at the Designer’s discretion.

8. Cancellation & Termination

  • Single bookings (days/weeks): Cancellations with fewer than five (5) business days’ notice will be charged in full.

  • Monthly or retainer contracts: Termination requires fourteen (14) calendar days’ written notice.

  • If a full month has been booked and the Client cancels early, the full month remains payable, as that time was exclusively reserved.

9. Intellectual Property

  • Upon full payment, the Client receives rights to final deliverables.

  • The Designer retains the right to display non-confidential work in a portfolio, website, or professional presentations.

  • Final files will be delivered in agreed formats. The Designer is not responsible for archiving files beyond fourteen (14) days after delivery.

  • The Client is responsible for securing licenses for any required third-party assets (e.g., fonts, stock images).

10. Confidentiality

Both Parties agree to maintain confidentiality of any non-public information shared during the engagement.

11. Communication

  • Communication channels may include:

    • Email (primary channel)

    • Scheduled video calls (e.g., Zoom, Meet)

    • Slack or WhatsApp (for informal updates)

  • The Designer is available during standard working hours in CET/CEST unless otherwise communicated.

12. Data Protection & Privacy

  • The Designer complies with applicable data protection laws, including the General Data Protection Regulation (GDPR).

  • Any personal data shared will be used solely for the purpose of delivering services and managing the Client relationship.

  • The Client is responsible for ensuring they have the right to share any personal data, files, or assets with the Designer.

13. Liability & Warranty Disclaimer

  • The Designer will perform services with reasonable skill and care.

  • Deliverables are provided “as is,” without warranties of fitness for a particular purpose unless otherwise agreed in writing.

  • To the fullest extent permitted by law, the Designer is not liable for:

    • Indirect, incidental, or consequential damages,

    • Loss of profits, data, or business opportunities.

  • Liability for any claim is limited to the total amount paid by the Client for the services in question.

14. Force Majeure

Neither Party shall be liable for delays or non-performance caused by circumstances beyond their reasonable control (e.g., natural disasters, strikes, pandemics). If such conditions last longer than thirty (30) days, either Party may terminate this Agreement with written notice.

15. Dispute Resolution

  • The Parties agree to attempt to resolve any disputes amicably through negotiation.

  • If resolution cannot be reached, the Parties may agree to mediation before pursuing legal action.

16. Term & Duration

  • This Agreement commences on the Effective Date of the first booking and remains valid for twelve (12) months, unless terminated earlier in accordance with Section 8.

  • It may be extended by mutual written consent.

17. Legal Terms

  • This Agreement is governed by the laws of Germany.

  • Any disputes shall be resolved in the courts of Berlin, Germany.

  • This document reflects the full agreement between the Parties and supersedes all prior discussions or understandings.
